Keepssy — Terms of Service

Please read these Terms of Service ("Terms") carefully before using Keepssy. These Terms are a legally binding agreement between you ("you," "your," or "User") and Keepssy ("Keepssy," "we," "us," or "our") governing your access to and use of the Keepssy website, application, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Important Financial Disclaimer — Please Read First

Keepssy is a trading-journal and analytics tool only. It is not a broker, financial institution, investment adviser, trading advisor, or financial service of any kind.

Keepssy does not place, execute, modify, cancel, or manage any trades. It does not provide trading signals, buy/sell recommendations, or portfolio management.
Nothing within the Service — including metrics, statistics, charts, analytics, leaderboards, badges, gauges, journals, or any other output — constitutes financial, investment, tax, legal, or trading advice, or a recommendation to buy, sell, or hold any financial instrument.
We are not a registered investment adviser, broker-dealer, or financial institution in any jurisdiction.
Trading forex, contracts for difference (CFDs), equities, commodities, cryptocurrencies, derivatives, and any leveraged instrument carries a high level of risk and may result in the loss of some or all of your capital. You should not trade with money you cannot afford to lose.
Past performance, historical results, and any figures displayed within the Service are not indicative of future results.
You are solely and entirely responsible for your own trading and financial decisions and for evaluating the merits and risks of any decision. Before making any financial decision, you should consult a qualified, licensed professional in your jurisdiction.

You acknowledge and agree that you use the Service, and make any trading or financial decisions, entirely at your own risk.

2. Eligibility

To use the Service, you must:

Be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher);
Have the legal capacity to enter into a binding contract; and
Not be barred from using the Service under the laws of Kuwait or any other applicable jurisdiction.

By using the Service, you represent and warrant that you meet these requirements. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. The Service

Keepssy provides a platform that allows users to connect their trading accounts (via read-only credentials), import and record trading activity, and view journals, statistics, analytics, and related features to help users review and track their own trading performance.

Read-only access. Where you connect a trading account, you do so using read-only ("investor" or equivalent) credentials. Keepssy is designed to retrieve and display your trading history only. Keepssy does not and cannot place trades, transfer funds, or make withdrawals on your behalf.
You are responsible for your credentials. You are responsible for providing accurate connection details and for ensuring you are permitted to connect any account you link to the Service.
Third-party platforms. The Service relies on third-party trading platforms, brokers, and data sources that are outside our control. We do not guarantee the accuracy, completeness, timeliness, or availability of any data retrieved from such third parties.
Changes to the Service. We may add, modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any such change.

4. Accounts and Security

You must provide accurate and complete information when creating an account and keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account or any other breach of security.
We are not liable for any loss or damage arising from your failure to keep your account credentials secure.
We reserve the right to suspend or terminate any account at our discretion, including where we reasonably believe these Terms have been breached.

5. Subscriptions, Fees, and Payment

Plans. The Service is offered on a free tier and one or more paid subscription tiers ("Paid Plans"). The features and limits of each tier (including the number of trading accounts that may be connected) are described on our pricing page and may be updated from time to time.
Billing. Paid Plans are billed on a recurring basis (monthly or annually, as selected) through our third-party payment provider. By subscribing, you authorize us and our payment provider to charge the applicable fees to your chosen payment method on a recurring basis until you cancel.
Payment processor. Payments are processed by a third-party merchant of record / payment provider. Your purchase may also be subject to that provider's terms. Applicable taxes may be added.
Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Price changes. We may change subscription prices. Any price change will apply to billing periods after the change, and we will provide reasonable notice where required by law.
Refunds. Refunds are governed by our Refund Policy at https://keepssy.com/refund, which includes a 7-day money-back guarantee on your first purchase of a Paid Plan. Nothing in these Terms limits any right you have under applicable consumer law.
Non-payment. If a payment fails or is reversed, we may suspend or downgrade your access to Paid Plan features.

6. Acceptable Use

You agree not to, and not to permit any third party to:

Use the Service for any unlawful, fraudulent, or unauthorized purpose;
Connect any account or upload any data that you are not authorized to connect or upload;
Attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
Interfere with, disrupt, overload, or attempt to circumvent any security, rate-limiting, or access-control feature of the Service;
Reverse engineer, decompile, scrape, copy, or create derivative works from the Service except to the extent this restriction is prohibited by applicable law;
Resell, sublicense, or commercially exploit the Service without our written permission;
Use the Service to build a competing product; or
Upload or transmit any malware, or any content that is illegal, infringing, defamatory, or harmful.

We may investigate and take appropriate action, including suspending or terminating accounts, for any violation of this section.

7. Public Features, Leaderboards, and Shared Profiles

The Service may include optional features that allow you to make certain information public or share it with others (for example, public profiles, leaderboards, or shareable links).
These features are off by default. Information is only made visible to others where you deliberately enable the relevant setting. You are responsible for what you choose to share.
You acknowledge that any information you make public may be viewed, copied, or retained by others, and that we are not responsible for how third parties use information you have chosen to make public.
We may moderate, remove, or restrict public content at our discretion.

8. Intellectual Property

Our IP. The Service, including all software, design, text, graphics, logos, and other content (excluding your data), is owned by Keepssy or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.
Your data. You retain ownership of the trading data and other content you provide to the Service ("Your Data"). You grant us a worldwide, non-exclusive license to host, store, process, and display Your Data solely as necessary to provide and improve the Service.
Feedback. If you provide feedback or suggestions, you grant us an unrestricted, royalty-free right to use them without obligation to you.

9. Third-Party Services

The Service integrates with or relies on third-party services, including trading platforms, brokers, and payment providers. We do not control and are not responsible for third-party services, their availability, or their terms. Your use of any third-party service is subject to that third party's own terms and policies, and any dispute regarding a third-party service is between you and that third party.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory.

We specifically disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting the foregoing, we do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free;
Any data, statistics, or output will be accurate, complete, reliable, or current;
Any errors or defects will be corrected; or
The Service will meet your requirements or expectations.

Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk. No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in these Terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall Keepssy, its owner, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation loss of profits, loss of revenue, loss of data, loss of goodwill, trading or investment losses, or business interruption, arising out of or relating to the Service or these Terms, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
Without limiting the above, we are not liable for any trading losses, financial losses, or investment losses of any kind, howsoever arising, in connection with your use of or reliance on the Service.
Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total amount you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty US dollars (US$50).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. Where mandatory consumer-protection law applies, nothing in these Terms limits rights that cannot lawfully be limited.

12. Indemnification

You agree to indemnify, defend, and hold harmless Keepssy, its owner, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any data or account you connect, upload, or share through the Service.

13. Termination

By you. You may stop using the Service and delete your account at any time.
By us. We may suspend or terminate your access to the Service at any time, with or without notice, including where we reasonably believe you have breached these Terms or where required by law.
Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, intellectual property, and governing law) will survive.
Deleting your account may permanently remove Your Data. We are not responsible for retaining or recovering Your Data after account deletion.

14. Changes to These Terms

We may update these Terms from time to time, including when the Service or applicable law changes. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Kuwait, without regard to conflict-of-law principles.
Subject to any mandatory rights you may have under the consumer-protection laws of your country of residence, the courts of Kuwait shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Where you have mandatory rights under the laws of your country of residence to bring proceedings in your local courts, this clause does not remove those rights.

16. General

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
No agency. Nothing in these Terms creates any partnership, agency, employment, or joint-venture relationship between you and us.
